NOTICE TO USERS: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT. USE OF THE
SOFTWARE PROVIDED WITH THIS AGREEMENT (THE "SOFTWARE") CONSTITUTES YOUR
ACCEPTANCE OF THESE TERMS. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT,
DO NOT INSTALL AND/OR USE THIS SOFTWARE. BY CLICKING ON THE "AGREE" BUTTON OR
LOADING OR USING THE SOFTWARE, YOU AGREE TO THE TERMS AND CONDITIONS OF THIS
AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND CONDITIONS, CLICK ON THE
"DISAGREE" BUTTON AND MAKE NO USE WHATSOEVER OF THE SOFTWARE.
USER'S USE OF THIS SOFTWARE IS CONDITIONED UPON COMPLIANCE BY USER WITH THE
TERMS OF THIS AGREEMENT.

1. LICENSE GRANT. LAD ENTERPRIZES, INC grants you a personal, limited, non-exclusive,
non-transferable license to use one copy of the version of this SOFTWARE on any system or
network. The SOFTWARE may be used only on a single computer by a single person at any time.
This is not a concurrent use license. Upon payment for a full use license, you will receive
a Name and Serial Number (S/N). You are the only authorized user of this information and must
comply with this agreement. You must keep your Name and S/N confidential so that no one else
may access the full license features of the SOFTWARE using your Name. "You" means the company,
entity or individual whose funds are used to pay the license fee. "Use" means storing, loading,
installing, executing or displaying the SOFTWARE. You may use the SOFTWARE on any computer or
network at any location, however, only You are the sole authorized user of the SOFTWARE and no
others may use the SOFTWARE without purchasing additional licenses. You may not assign or
transfer your rights to any person or entity. You may not modify the SOFTWARE or disable any
licensing or control features of the SOFTWARE except as an intended part of the SOFTWARE's
programming features. When you first obtain a copy of the SOFTWARE, you are granted a limited
use license which permits you to evaluate the SOFTWARE but restricts certain aspects of the
SOFTWARE. To remove these restrictions you must pay for the SOFTWARE full use license according
to the terms and prices disclosed by the distributor. This license is not transferable to any
other organization or individual. You exclusively are expected to use the SOFTWARE and to
thoroughly evaluate its usefulness and functionality before paying a license fee. This "try
before you buy" approach is the ultimate guarantee that the SOFTWARE will perform to your
satisfaction; therefore, you understand and agree that there is no refund policy for any
payment of the SOFTWARE full use license fee.

2. OWNERSHIP. The SOFTWARE is licensed, not sold. The SOFTWARE is owned and copyrighted by
LAD ENTERPRIZES, INC.

3. COPYRIGHT. The SOFTWARE is protected by United States copyright law and international
treaty provisions. You acknowledge that no title to the intellectual property in the SOFTWARE
is transferred to you. You further acknowledge that title and full ownership rights to the
SOFTWARE will remain the exclusive property of LAD ENTERPRIZES, INC and you will not acquire
any rights to the SOFTWARE except as expressly set forth in this license. You agree that any
copies of the SOFTWARE will contain the same proprietary notices which appear on and in the
SOFTWARE.

4. REVERSE ENGINEERING. You agree that you will not attempt to reverse engineer, decompile,
modify, translate, disassemble or create derivative works based on the SOFTWARE in whole or in
part. You may not allow access to the SOFTWARE available to others in connection with a
service bureau, application service provider or similar business, not permit any one else to
do so. Your rights hereunder automatically terminate if you fail to comply with any provision
of this agreement. Upon such termination, you shall promptly cease all use of this SOFTWARE
and, at your sole expense, destroy or cause the destruction of all records of your S/N.

5. RE-PACKAGE SOFTWARE. You agree that you will not re-package the software or any portion of
it, bundle the Software or any portion of it with any other software, use its functionality
directly or indirectly in any manner to support another software program unless explicitly and
in writing authorized by LAD Enterprizes.
